Dear Subscriber, welcome to Beijing Cotton Outlook (www.cottonchina.org.cn/english, hereinafter the "Website"), please read and understand all the content of this Subscriber Service Agreement (hereinafter the "Agreement") before registering. The Website is managed and operated by Beijing Cotton Outlook Consulting Co., Ltd (hereinafter the "Company"), and provides Subscribers services based on this Agreement. The Agreement applies to all the services for Subscribers provided by the Website.
I. Important Notes on Registration 1.1 Please read and understand all the contents of the Agreement before registering. Click on the "Agree" button below this agreement and register according to the instructions. Once the Subscriber has filled in his/her information on the registration page and completed the registration procedures, it is implied that the Subscriber has read and agreed to the terms of this Agreement. The Agreement becomes legally effective between Subscribers and the Company. The Subscribers' activities will be bound this Agreement, and they will bear corresponding liabilities and obligations. 1.2 The Subscriber shall provide details and information that is factual, accurate, complete, and effective for registration and ensure the authenticity, legality, validity and completeness of the information and materials submitted (including but not limited to real name, email address, phone number, ID and etc.) copies of which should be identical to the original. If there is any change in the information, it must be updated in time. And if the Website could not provide services due to Subscriber's failure to update registered information in time, the legal liabilities and consequences shall be borne by the Subscriber. If the Subscriber registers with another person's information or provides information that does not comply with the above terms, all liabilities and consequences shall be borne by the Subscriber, and the Website or the Company will not assume any legal liability. Furthermore, if it brings losses to the Website or the Company, the Subscriber shall be liable for compensation. 1.3 Services offered by the Website are strictly in accordance with terms of service and operation principles. Membership services will only be available after the Subscriber agrees to all terms of this Agreement and completes the registration process. II. Services and Fee 2.1 VIP Membership: 5500 USD or 38,000 RMB per year. (1 year of corresponding access to information and data services) Includes all the services for Senior Membership, plus exclusive monthly reports, important policy updates via email, and exclusive report distribution services. 2.2 Senior membership: 2000 USD or 14,000 RMB per year. (1 year of corresponding access to information and data services) Public information, plus comprehensive domestic cotton and textile information; China cotton and cotton yarn price indices, imported cotton and cotton yarn price indices, Zhengzhou cotton futures prices; cotton import and export statistical data (with access to data from the past three years), etc. Additionally, Subscribers of Senior membership have the right to a 10% discount on the service fee of Registration of Supplier of Imported Cotton (also called AQSIQ certificate) at General Administration of Customs of China (GACC) on behalf of one company. 2.3 Free membership: Free (limits to public information) After registration, you will receive a seven-day trial period during which you can access comprehensive information on domestic cotton and textiles. After the trial period, you will only be able to access public information: Reserve cotton transaction announcements; policies and notices; international news updates (reposted content); some data, prices, market trends, import and export statistics (brief data displayed on the page); conference and training topics. III. Subscriber Compliance 3.1 The account and password of the Subscriber (the "Account") is only available for the Subscriber. The Subscriber is responsible for keeping the Account information confidential, and must not share the Account with others. 3.2 When the password is lost or stolen, the Subscriber must promptly notify the Website's staff, who will reset the password for the Account. 3.3 The Subscriber agrees that the Website has the right to terminate the service without informing the Subscriber in advance, and the Website could suspend, close or delete account and any related data and information. 3.4 The Subscriber must not post any malicious, false, or illegal information on the Website. The Subscriber is fully responsible for the authenticity and legality of any information that he/she posts. The Website has the right to immediately suspend the account that posts illegal information and does not assume any responsibility. 3.5 The Website is committed to providing timely services, but it does not assume any liability for delays or changes caused by events of force majeure. 3.6 All content, including but not limited to statistics, diagrams, reports, commentaries, audio-visual materials, website design, is exclusive owned by the Company and the Website. No individual or organization is allowed to replicate, adapt, disseminate, publish, sell, or infringe upon the Website intellectual property rights without prior written consent from the Website. Any unauthorized use of content from the Website is illegal and the Company has the right to pursue legal action. 3.7 If any violations of the above regulations result in property or reputational losses to the Website, the Company has the right to pursue corresponding economic and legal actions. IV. Limitation of Liability 4.1 The Subscriber should judge the authenticity of the content of the Website by himself/herself and bear the risks of the judgement. The legal liabilities and consequences shall be borne by the Subscriber. The Website and the Company does not assume any responsibility. 4.2 Services provided to the Subscriber by third-party organizations cooperating with the Website and information published on the Website that may involve third-party-owned information or third-party platforms, are the responsibility of the relevant third parties for their authenticity, reliability and effectiveness. The Subscriber should independently assess the information provided by the third-party and take the corresponding risks. The Website and the Company do not assume any responsibility. V. Copyright and Disclaimer 5.1 The content on the Website is protected by China and international copyright laws. Without written informed consent, no organization or individual may, in any form, adapt, repost, translate or disseminate any content owned by the Website via media, nor may they plagiarize, copy, reproduce, or use any copyrighted component of the Website for public exhibition, demonstration, rental, sale, or any other commercial purposes. 5.2 "www.cottonchina.org.cn" has been registered in the State Administration for Industry and Commerce, protected by the law. Without permissions from the Website, any use of "www.cottonchina.org.cn" or its symbols is illegal. No organization or individual may use the name or logo in a manner that is likely to cause confusion or ambiguity, or distort or defame the Website in any way, on any products or services that are not provided by the Website. 5.3 Any content labeled with "exclusive to Beijing Cotton Outlook (BCO)" are copyrighted by the Website. Without authorization from the Website, no organization or individual may repost, adapt or publish the content. If there is any infringement or reposting the content from the Website publicly without properly acknowledging the source, or if the content is altered and claimed as others, the Website will pursue legal actions. If the Subscriber of the Website reposts or adapts content from the Website without authorization, the Website has the right to cancel his/her membership. 5.4 Authorized contents should be used within the scope of authorization and clearly acknowledge the source by adding "source: Beijing Cotton Outlook (BCO)". 5.5 All content on the Website (including but not limited to news, announcement, commentaries, forecasts, diagrams, papers and etc.) is for reference only without any express or implied warranties, including any warranty regarding the applicability or purpose of any material. Under no circumstances does the Website guarantee the accuracy of the data and services provided, nor is it liable for any direct or indirect losses resulting from the Subscriber using or not using the content on the Website. 5.6 The Website is not responsible for the content, services, or activities provided by the third-party links on the Website. The Website reserves the right to suspend any links at any time. 5.7 Any content labeled with "Source: xxx (not from Beijing Cotton Outlook or BCO)" is reposted from other media. The purpose of the repost is to provide more information for the Subscriber and it does not imply that the Website agrees with or is responsible for its accuracy. 5.8 For actions that violates this Agreement and cause losses to the Website, the Website will pursue legal responsibilities. 5.9 For copyright collaboration, please call or write to the Website. For any issues related to content, copyright or other matters, please contact the Website within 30 days. VI. Other 6.1 The validity, interpretation, modification, execution and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding Hong Kong, Macau, and Taiwan area). The terms of this Agreement are severable, and the invalidity of any part does not affect the validity of the remaining parts. The Website holds the final interpretation rights of the terms and conditions of this Agreement. 6.2 If the user is a Subscriber of the Website, this Agreement is in effect until the user log out or close the account. 6.3 Any disputes between the two parties regarding the signing, performance or interpretation of this Agreement should be resolved through amicable negotiation. If the negotiation fails, the dispute should be submitted to the competent court located in the Company's place (Xicheng District, Beijing) of jurisdiction for litigation.
